1. Scope

(1) RIB SAA Software Engineering GmbH, FN 162840x, Gudrunstraße 184/4, 1100 Vienna, (hereinafter referred to as "SAA RIB") and ALLPLAN Software Engineering GmbH, FN 259824w, Urstein Süd 19/1/6, 5412 Puch bei Hallein, (hereinafter referred to as "ALLPLAN") are the organizers of the "Engineering Days" in Salzburg. SAA RIB and ALLPLAN are hereinafter jointly referred to as the "Organizer".

(2) These General Terms and Conditions (GTC) shall apply comprehensively to the "Engineering Days", in particular to all services offered by the Organizers - individually or jointly - within the framework of the "Engineering Days" and to agreements concluded with them.

(3) These GTC shall apply exclusively, and any deviating, supplementary or conflicting provisions of exhibitors, speakers or other participants/visitors (hereinafter collectively referred to as "Participants"), in particular their General Terms and Conditions, shall only become part of the contract if they have been expressly confirmed in writing by the Organizers. The Organizers, for their part, rent the event premises from Tourismus Salzburg GmbH (Salzburg Congress) (hereinafter referred to as "TSG"), so that the General Terms and Conditions of TSG shall apply in addition. Participants shall therefore also comply in particular with the safety regulations, the exhibitor handbook, the technical notes for speakers, and the technical data of TSG.

(4) By registering, the participant agrees to these GTC and the GTC of TSG as well as the other TSG documents listed above.

2. Contract Language

(5) The contractual and business language is exclusively German. Services or correspondence in other languages, in particular in English, such as the provision of an English version of these GTC, shall be deemed to be services only. Legally binding statements can only be made by the organizers in German.

3. Registration and Conclusion of Contract

(6) Participants are not entitled to participate in the "Engineering Days". The organizers may refuse participation or request further information without giving reasons.

(7) Participation is only permitted for companies or entrepreneurs or their executives and employees within the scope and for the purposes of the company. In particular, participation is not permitted for consumers or before the start of the business (start-up business). By registering, the participant confirms that he/she is not a consumer. Furthermore, only persons of legal age are allowed to register, and by registering they confirm that they are of legal age. One accompanying person may be registered for each participant. The participant is the sole party to the contract, and the participant must ensure that the accompanying person complies with the obligations arising from these GTC. 

(8) Registration takes place by sending the completely and correctly filled out registration form on the website http://www.engineeringdays.at/ (hereinafter referred to as the "Website"). Sending the registration form constitutes a binding and irrevocable offer by the participant. A contract is not concluded until the organizers accept the registration by sending a confirmation of registration. The organizers are entitled to accept registrations only in part (in particular with regard to individual days).

(9) The participant grants the organizers the right to use the participant's name, company, business or other name, including the participant's logo, as well as the participant's exhibits and/or presentations as a reference and to use them to advertise the "Engineering Days" and subsequent events (regardless of the event location), in particular on the website. The participant shall provide the organizers with logos etc. for this purpose. This includes the right to name participants, in particular speakers, and to take photographs and videos of them and to use them in accordance with this provision.

4. Exhibitors

(10) Exhibitors are not entitled to a specific exhibition space. Exhibitors will be provided with an exhibition table (approx. 180cm x 70cm), two chairs and an electricity connection (230V, 16) including a triple socket. Optionally, the additional services listed on the website can be booked at the conditions stated there; point 3 applies accordingly.

(11) Exhibitors may present themselves or their company by means of banners with a maximum width of 180 cm and a maximum height of 250 cm. Irrespective of other requirements, exhibits must be placed in the allocated exhibition space and must not protrude beyond it or obstruct the view of other exhibitors' stands. The Organizers are entitled to prohibit the installation of exhibits and to order their relocation or removal. At the request of the Organizers, the Exhibitors shall provide the Organizers with information on their exhibits in advance.

(12) The stand must be set up and dismantled at the times announced by the organizers. The stand must be in continuous operation during the event and must be manned by the exhibitor or at least one of his employees. Any premature dismantling of the stand, even if only partial, shall require the prior express written consent of the Organizers.

5. Presentations and Granting of Rights

(13) Presentations must be submitted in German and English with a presentation title, a maximum of two lines of subtitles, and a summary of the presentation of 1,000 to 2,000 characters (approximately half an A4 page). The presentation time is 20 minutes and must be adhered to by the presenter. The selection, time, and place of the presentations will be determined by the organizers. The presenter has no claim to the selection of her/his presentation or, if her/his presentation is selected, to a presentation in a specific presentation session or at a specific time.

(14) If a presentation is selected by the organizers, the presenter must submit a final version of the presentation (MS PowerPoint only) in HD format 16:9, font size at least 16pt, to the organizers no later than October 15, 2024. The presentation should not exceed 40 slides. The slide master provided by the organizers must be used.

(15) The presentation will be simultaneously translated into English. For this purpose, a written version of the presentation in German and English of at least one page must be submitted to the organizers by October 31, 2024 at the latest. The speaker must adhere to the glossary provided by the organizers in order to ensure that relevant terms are used as consistently as possible.

(16) The speaker grants the organizers the right to publish the lecture (submission, presentation and written version; German and English - hereinafter referred to as "lecture") on the website and in specialist media (including their Internet and electronic editions). For this purpose, the speaker grants the organizers all necessary intellectual property rights of use and exploitation, including the right to adapt and convert the format, free of charge, unlimited in time and place, but not exclusively. The rights are also granted in the event that the submission is not selected, in the event of cancellation, and in the event that the speaker does not give his/her presentation, for whatever reason. The speaker waives the right to any credit beyond his or her name, in particular a copyright notice in accordance with § 20 (1) UrhG (German Copyright Act).

6. Offsetting, Payment and Default

(17) Unless a different VAT regulation or currency is expressly stated, all prices are quoted in Euro net or plus 20% Austrian VAT.

(18) All amounts are due in advance upon registration/booking. In the event that an order is not (partially) accepted by the organizers, any fees already paid will be refunded to the participant.

(19) Payment must be made by credit card.

(20) Payment by credit card is made through CPS (Cvent Payment Service) in accordance with the current privacy policy. 

(21) The participant is not entitled to offset any claims against the organizer.

(22) In the event of late payment, the Event Organizer is entitled to charge the participant a reminder fee of up to €40.00 per reminder. In the event of legal action, the participant shall also bear the costs incurred by the organizers for necessary and appropriate judicial and extrajudicial collection measures in accordance with the German Lawyers' Fees Act (RATG) as amended.

7. Cancellation and Withdrawal from the Agreement

(23.1) In the event of cancellation by the Organizer, the following shall apply:

If the event is cancelled by the organizer, the participants will be refunded the fees paid.

(23.2) In the event of cancellation by the participant, the following cancellation fees shall be payable:

(24) Until August 31, 2024: A processing fee of €50.00; the cancellation must be received in writing by the registration office (EngDays@salzburgcongress.at) no later than August 31, 2024. 

(25) Until October 15, 2024: A processing fee of € 50.00 and a cancellation fee of 50% of the registration fee; the cancellation must be received in writing by e-mail at the registration office (EngDays@salzburgcongress.at) no later than October 15, 2024.

(26) As of October 16, 2024: A processing fee of €50.00 and a cancellation fee of 100% of the registration fee. 

(27) A €50.00 processing fee will be charged for name changes.

(28) Cancellation fees are agreed as a penalty. Further claims of the organizers remain unaffected. The organizers are entitled to retain the processing and cancellation fees as well as any additional claims from fees already paid.

(29) The organizers shall be entitled to revoke an accepted application for good cause at any time and without notice (cancellation). Such good cause shall be deemed to exist in particular if the participant fails to meet its payment obligations on time or in full or if it violates the safety regulations, the exhibitor manual, the technical instructions for speakers or the technical data of TSG. If the organizer cancels during the "Engineering Days", the participant is obliged to leave the event immediately and to dismantle his stand. In case of justified cancellation by the organizers, the participant is obliged to pay the full fee. Further claims of the organizers remain unaffected.

8. Warranty, Damages and Liability

(30) The contractual and tortious liability of the organizers is limited to intent and gross negligence - as far as it does not concern compensation for personal injury - and any warranty is excluded. Compensation for consequential damages, pure financial losses (including loss of profit) and recourse claims against entrepreneurs or companies are excluded. The organizers are not liable for theft of or damage to items brought by the participant, especially exhibits.

(31) Any damage must be reported to the organizers immediately in writing by e-mail, attaching meaningful photographs that allow an assessment of the damage. In the case of entrepreneurs and companies, the organizers are free to decide whether the damage is to be remedied by repair, replacement or compensation. The period of limitation for entrepreneurs and companies is 6 months and the liability of the organizers is generally limited to the net entry fee.

9. Liability of the participants

(32) The participants (exhibitors, speakers and visitors/guests) shall be liable to the organizers and third parties for all damages caused by persons attributable to them, in particular employees and vicarious agents, and the participants shall indemnify and hold the organizers completely harmless.

(33) In addition to the statutory liability and warranty provisions, the participants shall be liable and guarantee in particular that the materials and objects (in particular exhibits and presentations) used by them within the scope of the "Engineering Days" and their use do not infringe any rights of third parties, in particular copyrights and/or trademark rights as well as patent rights and/or utility models or trade secrets, and are therefore not subject to any restrictions in this respect.

(34) The participant further guarantees and is liable for the fact that the data and files (in particular presentations) transmitted or used by him do not contain any malware, in particular viruses or Trojan horses.

(35) The participant shall therefore indemnify and hold the organizers harmless from and against any and all claims of third parties asserted against the organizers based on the conduct of the participant or persons attributable to the participant; this shall also apply to claims of third parties for which the organizers have indemnified third parties. This includes the obligation to reimburse the necessary costs for the appropriate legal action (usual lawyer's fees, court costs, expert fees, witness fees). In addition, the participant must reimburse the organizers for all damages incurred by the organizers as a result of malware contained in the data or files used or transmitted by the participant or for which the organizers have compensated third parties.

10. Data Protection

(36) The participant agrees that the organizers may process the personal data provided by the participant (company name, commercial register number or comparable registration number, first name and surname, date of birth, position, address including any different billing address, e-mail addresses and website, telephone numbers, value added tax identification number, tax identification number) for the purpose of contract processing, i.e. for the organization and execution of the "Engineering Days", for invoicing and payment processing, for communication with the participant, and for advertising the "Engineering Days" or follow-up events. If necessary, the data will be passed on to third parties, in particular payment processors and TSG, for the purpose of contract processing. If the data subjects are third parties other than the participant (e.g. employees), the participant guarantees and is liable for the existence of the relevant consent of the data subject.

(37) Data subjects may at any time request information about the personal data stored by the Organizer, its origin and any recipients of the data. Upon request, the Organizers will correct, block or delete the data stored about the data subject, provided that this does not conflict with statutory provisions, in particular with statutory retention obligations.

11. Miscellaneous

(38) Should any provision of these General Terms and Conditions be or become legally invalid, the validity of the remaining provisions shall remain unaffected.

(39) These GTC and all agreements with the organizers are subject to the formal requirement of written form, although no signature is required. This also applies to any waiver of this requirement.

(40) The place of performance for all agreements concluded with the organizers in connection with the "Engineering Days" and the resulting obligations shall be the city of Salzburg.

(41) In the event of disputes arising from contracts concluded with the organizers in connection with the "Engineering Days", including those concerning their existence or non-existence as well as their antecedent and consequential effects, the contracting parties submit to the exclusive jurisdiction of the competent court in the city of Salzburg. All legal disputes shall be governed exclusively by Austrian law, excluding the conflict of law rules of Austrian private international law and excluding the UN Convention on Contracts for the International Sale of Goods.
